Penny was charged last month in the death of Jordan Neely, who died after being put in a chokehold by Penny on a New York City subway train.
Penny's lawyers say the veteran is prepared to testify before the grand jury, but no decision has been made.
The maximum penalty for second-degree manslaughter is 15 years in prison.
