You need a star. You need a rocky planet. Without heavy elements, we would not have rocky planets around stars. Then you need enough time to pass for the planet cools. In addition you likely need liquid water, an atmosphere, and the right temperatures.

Chances are it took hundreds of millions of years for those key ingredients to be put in place in our universe.
