Netflix announced an $83 billion deal to acquire Warner Brothers, HBO, and HBO Max, but the agreement faces major obstacles. Donald Trump opposes the Netflix acquisition, creating uncertainty around regulatory approval. Ted Sarandos met privately with Trump to argue the Netflix Warner Brothers merger wouldn't violate antitrust laws, but Trump called the deal "a problem."
Paramount, recently purchased by Sky Dance and controlled by David Ellison, launched a hostile takeover bid for Warner Brothers worth $108 billion total, offering $30 per share compared to Netflix's $27.75. The Paramount offer appears superior on paper, but the funding sources raise serious questions.
A filing reveals the Paramount Sky Dance hostile takeover includes $24 billion in debt financing from sovereign wealth funds in Saudi Arabia, Qatar, and Abu Dhabi. Jared Kushner's private equity firm Affinity Partners is also backing the bid with billions from Saudi Arabia and other Middle Eastern nations. Neither Kushner nor the Saudi Arabia funding were mentioned in Paramount's initial press release about the Warner Brothers acquisition.
David Ellison's father, Larry Ellison, the Oracle founder worth hundreds of billions, is a major Trump supporter. The foreign investors agreed to forego governance rights and board representation for their non voting equity stakes in the Warner Brothers deal. Trump praised Sarandos as a shrewd businessman while simultaneously blocking the Netflix path forward, clearing the way for the Paramount Saudi funded alternative.
